Terms of Use

These Terms of Use ("Terms") govern your access to and use of fixmyoffer.ai (the "Service"), operated by ItsaYes Labs, LLC ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

fixmyoffer.ai analyzes submitted public web pages and uses automated systems, including artificial intelligence, to generate private offer-audit reports. Reports may include findings, scores, recommendations, rewrites, market context, and an action plan.

The Service is a beta product. Features, pricing, availability, and outputs may change. Reports are informational business feedback, not legal, tax, financial, or other professional advice.

3. Accounts and login codes

Some features require an account authenticated through a one-time code sent to your email address. You are responsible for providing accurate account information, protecting access to your email account, and promptly notifying us if you suspect unauthorized account activity.

You may delete your account through the Service. We may suspend or terminate access where reasonably necessary to protect the Service, comply with law, or enforce these Terms.

4. Submitted URLs and content

You may only submit URLs that you are authorized to analyze. You represent that your submission and our processing of the publicly accessible page content will not violate applicable law or third-party rights.

Do not submit private URLs, credentials, confidential information, personal data that is not necessary for the audit, or URLs intended to access internal networks. You retain your rights in submitted content. You grant us a limited, non-exclusive license to retrieve, process, store, and transmit submitted public page content solely as needed to provide, secure, and support the Service.

5. Payments, taxes, and credits

Each new audit and rerun is a separate one-time purchase unless an explicit support or technical-failure credit is consumed. The regular price is $19 plus applicable taxes. During the launch offer, eligible Checkout sessions receive a $10 discount while the limited Stripe coupon remains available, resulting in a $9 subtotal plus applicable taxes. The final price displayed by Stripe Checkout controls your purchase.

Payments are processed by Stripe. Except where required by applicable law, completed purchases are final once processing begins. If a paid audit fails for a technical reason, we may issue a rerun credit. Exceptional refund requests are reviewed individually. Credits have no cash value and may only be used with the Service.

6. AI-generated output

Audit reports are generated using automated systems and may be incomplete, inaccurate, outdated, or unsuitable for your business. We do not guarantee conversion gains, revenue gains, or any particular business outcome. You are responsible for reviewing recommendations and deciding whether to use them.

7. Acceptable use

You agree not to:

  • submit content or URLs you are not authorized to analyze;
  • use the Service for unlawful, fraudulent, abusive, or harmful activity;
  • probe private networks, exploit vulnerabilities, or attempt unauthorized access;
  • access another user's audits or evade authentication, payment, or rate limits;
  • automate submissions, scrape private reports, or create excessive load;
  • upload or transmit malicious code; or
  • reverse engineer or use the Service to build a substantially similar competing service.

8. Ownership and permitted use

The Service, its software, design, branding, and underlying materials are owned by Company or its licensors and are protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service.

You may use your generated report for your own personal or business purposes. You may not resell access to the Service, remove proprietary notices, or represent that Company endorses your business.

9. Privacy

Our Privacy Policy explains how we handle information when you use the Service.

10. Third-party services

The Service relies on third-party providers and may link to third-party websites. We are not responsible for third-party services, content, availability, or privacy practices. Your use of third-party services may be subject to separate terms.

11. Availability, changes, and termination

We may modify, suspend, or discontinue any part of the Service, and we do not promise uninterrupted availability or permanent retention of beta audits. We may restrict or terminate access if you violate these Terms, create risk for the Service or other users, or if required by law.

12. Disclaimers

To the maximum extent permitted by law, the Service and all reports are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or reliability.

13. Limitation of liability

To the maximum extent permitted by law, Company and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption arising from or related to the Service.

To the maximum extent permitted by law, Company's total liability for all claims arising from or related to the Service will not exceed the greater of $50 or the amount you paid to Company for the Service during the twelve months before the event giving rise to the claim.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Company and its officers, employees, and agents from third-party claims, damages, and reasonable costs arising from your misuse of the Service, your submitted content, or your violation of these Terms or applicable law.

15. Disputes and governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Before filing a claim, you agree to contact contact@fixmyoffer.ai and attempt to resolve the dispute informally.

Except for eligible individual small-claims matters and requests for injunctive relief involving intellectual property, any dispute arising from these Terms or the Service will be resolved by binding individual arbitration administered by JAMS under its applicable rules and the Federal Arbitration Act. Arbitration will take place on an individual basis only. You and Company waive the right to a jury trial and to participate in a class, collective, consolidated, or representative action.

You may opt out of this arbitration agreement by emailing contact@fixmyoffer.ai within 30 days after first accepting these Terms, with the subject line "Arbitration Opt-Out" and your account email address. Nothing in these Terms limits non-waivable rights available under applicable law.

16. General

These Terms and the Privacy Policy constitute the agreement between you and Company regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, reorganization, or transfer of the Service.

We may update these Terms as the Service evolves. Material changes will be posted on this page and, where appropriate, communicated by email or through the Service. Continued use after changes become effective constitutes acceptance of the updated Terms.
